Terms and Conditions for Beta Use of Procman

Please read these Terms and Conditions (“Terms”) carefully before using the Procman application (“the App”) operated by Visionbase Software Limited (“we”, “us”, or “our”).

By accessing or using the App during the beta period, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

  1. Beta Disclaimer
    The App is currently in beta testing phase and is made available to users free of charge for the duration of the beta period.

The purpose of the beta release is to identify and fix bugs, improve functionality, and gather user feedback. As such, you understand and agree that the App:

May contain bugs, errors, or other issues.

May be modified, updated, or discontinued at any time without prior notice.

May result in unexpected behavior or data loss.

  1. Eligibility
    The App may be used by both individuals and business entities. By using the App on behalf of a business, you represent and warrant that you are authorized to bind the business to these Terms.

You must be at least 18 years old and capable of entering into a binding agreement. By using the App, you confirm that you meet these eligibility requirements.

  1. License and Use
    We grant you or your business a limited, non-exclusive, non-transferable, revocable license to use the App for lawful purposes during the beta period. You or your business may use the App for:

Personal or commercial (business-related) purposes;

Internal evaluation and testing of the App’s functionality.

You may not:

Reverse engineer, decompile, or attempt to extract the source code of the App.

Use the App for any unlawful, harmful, or abusive activity.

Distribute, rent, lease, or sublicense the App without our permission.

  1. Feedback
    You may provide feedback, suggestions, or ideas relating to the App (“Feedback”). By doing so, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, and incorporate such Feedback without compensation or obligation to you or your business.
  2. No Warranty
    To the maximum extent permitted by applicable law, the App is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

Warranties arising out of course of dealing or usage of trade;

While we have taken many precautions to ensure the app is functional and as secure as possible, during beta we cannot provide any guarantee that the App will be secure, error-free, or meet your requirements.

You or your business assume all risk related to the use of the App during the beta period.

  1. Limitation of Liability
    To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including lost profits or business interruption, arising from or relating to your or your business’s use of the App, even if we have been advised of the possibility of such damages.
  2. Termination
    We reserve the right to suspend or terminate your or your business’s access to the App at any time, for any reason, without notice or liability.
  3. Changes to These Terms
    We may update these Terms at any time. We will notify you of significant changes through the App or via email. Your continued use of the App after such updates constitutes your acceptance of the revised Terms.
  4. Governing Law
    These Terms are governed by the laws of the United Kingdom, without regard to its conflict of law principles.
